WEB & CLOUD SERVICES – TERMS OF USE

Effective Date: 12/04/2021

These Terms of Use govern the provision of web, cloud, hosting, domain, and related digital services offered by Cypher Africa Group (“Company”, “we”, “us”, “our”) to any individual or business entity (“Client”, “you”, “your”) that engages our services.

By requesting, paying for, or using our services, you agree to be bound by these Terms.

 

1. SERVICES COVERED
We provide professional digital services including but not limited to:

  • Domain registration and renewal

  • Web hosting and server management

  • Website design and development

  • Website maintenance and support

  • Email setup and configuration

  • Website migration and transfer services

  • Cloud infrastructure management

  • Security updates and monitoring

2. SERVICE RELATIONSHIP

2.1 The Company acts as a technical service provider and systems manager on behalf of the Client.
2.2 All services are offered on a subscription, project, or maintenance basis.
2.3 Continued use of services constitutes acceptance of these Terms.

 

3. DOMAIN REGISTRATION & MANAGEMENT
3.1 Domains may be registered by the Company on behalf of the Client as part of a service package.
3.2 The Company may:

  • Purchase domains using its own accounts

  • Manage DNS and technical configurations

  • Handle renewals and technical administration

3.3 Domain registration costs, renewal costs, and management services are billable to the Client.
3.4 Failure to settle domain-related invoices may result in:

  • Suspension of management services

  • Non-renewal risk

  • Administrative restrictions until payment is made

3.5 The Company reserves the right to recover any costs incurred in purchasing or renewing domains on behalf of the Client.

 

4. OWNERSHIP & BENEFICIAL INTEREST
4.1 Domains registered for a Client’s brand, company name, or business use are considered to be held in trust for the Client, subject to settlement of all outstanding service fees.
4.2 The Company retains administrative and technical control over digital assets it registers or manages until all agreed payments are fulfilled.
4.3 Non-payment of service fees may result in temporary restriction of administrative actions, including transfers.

 

5. HOSTING & CLOUD SERVICES
5.1 Hosting services are provided on a recurring subscription basis.
5.2 Failure to pay hosting fees may result in:

  • Suspension of website access

  • Email service interruption

  • Eventual deletion of hosted data after reasonable notice

5.3 The Company is not liable for data loss resulting from prolonged non-payment.

 

6. MAINTENANCE & SUPPORT
6.1 Maintenance services may include:

  • Security updates

  • System monitoring

  • Backup management

  • Technical support

  • Minor content changes

6.2 Maintenance is billed monthly, quarterly, or annually as agreed.
6.3 Continued provision of support is dependent on timely payment.

 

7. WEBSITE TRANSFER & MIGRATION
7.1 Upon Client request, we can transfer websites, domains, and digital assets to another provider.
7.2 Transfer services are billable and may include:

  • Full site backup

  • Database export

  • Server migration

  • DNS reconfiguration

  • Email migration

  • Testing and deployment

7.3 Transfer work is treated as a professional technical service and is subject to an administrative and labor fee.
7.4 Transfer requests will be processed after:

  • Settlement of any outstanding balances

  • Payment of applicable transfer service charges

8. PAYMENTS & OUTSTANDING BALANCES
8.1 Clients agree to pay for:

  • Initial setup costs

  • Domain registrations

  • Renewals

  • Maintenance fees

  • Hosting subscriptions

  • Technical labor

8.2 Late or unpaid invoices may result in:

  • Service suspension

  • Administrative restrictions

  • Delayed support

8.3 The Company reserves the right to pursue recovery of unpaid fees through lawful means.

 

9. SERVICE SUSPENSION
We reserve the right to suspend services where:

  • Payments are significantly overdue

  • Terms of service are violated

  • Continued service creates financial risk to the Company

Suspension does not cancel the Client’s obligation to settle outstanding balances.

 

10. LIMITATION OF LIABILITY
10.1 The Company shall not be liable for:

  • Business losses

  • Loss of revenue

  • Data loss due to third-party failures

  • Service interruptions caused by hosting providers, registrars, or internet outages

10.2 Our total liability shall not exceed the amount paid by the Client for the affected service within the preceding 6 months.

 

11. CLIENT RESPONSIBILITIES
The Client agrees to:

  • Provide accurate information

  • Make payments on time

  • Maintain backups of critical data

  • Communicate transfer requests formally

12. TERMINATION OF SERVICES
12.1 Either party may terminate services with written notice.
12.2 Upon termination:

  • All outstanding balances become immediately due

  • Transfer assistance may be provided at applicable service rates

13. INTELLECTUAL PROPERTY
13.1 Client-provided content remains the property of the Client.
13.2 Custom-developed code, designs, and systems remain the intellectual property of the Company unless otherwise agreed in writing.

 

14. DISPUTE RESOLUTION
14.1 In the event of a dispute, both parties agree to attempt amicable resolution first.
14.2 If unresolved, the matter may be handled through mediation, arbitration, or legal channels under the applicable laws of the jurisdiction where the Company operates.

 

15. CHANGES TO TERMS
We may update these Terms from time to time. Continued use of our services after updates constitutes acceptance of the revised Terms.
